Apertura AI provides professional services for designing, building, and deploying intelligent agent systems. Our deliverables include code, documentation, and integrations. We do not guarantee third-party API uptime or availability.
Upon full payment, clients own all delivered agent code and configurations. This includes custom implementations, documentation, and project-specific assets.
Apertura AI retains ownership of internal templates, methodologies, and pre-existing intellectual property used in service delivery.
A mutual Non-Disclosure Agreement (NDA) is built into these terms. We follow security best practices and maintain strict confidentiality of all client information. Client data is not used for model training or service improvement unless explicitly agreed in writing.
We provide services with professional care and best-effort quality standards. All deliverables undergo testing and quality assurance processes.
We exclude liability for consequential, indirect, or special damages. Our total liability is capped at the fees paid in the last 12 months for the affected services.
Projects are billed at fixed prices as agreed in the project proposal. Payment terms are typically 50% upfront and 50% upon delivery, unless otherwise specified in the project agreement.
Project-specific data governance and audit options are available based on client requirements. Clients remain responsible for compliance with domain-specific regulations and ensuring appropriate use of delivered systems.
All projects include a 30-day support window for questions, clarifications, and minor adjustments. Extended support arrangements can be negotiated separately.
Significant changes to project scope will be documented and may result in adjusted timelines and costs. We maintain transparent communication about all project modifications.
Either party may terminate services with reasonable notice. Upon termination, clients receive all completed work and documentation. Payments for completed phases remain due.
These terms are governed by German law. Disputes are subject to the jurisdiction of courts in Frankfurt am Main, Germany. We prefer to resolve disputes through direct communication before formal proceedings.
